FAQ

We know selling your business is one of the biggest decisions you’ll ever make - with lots of unknowns. Our goal is to give you straightforward answers.
Who does Kensington Park Capital work with?

We work exclusively with entrepreneurs and business owners of middle-market companies. If you’ve built a company that’s ready for its next chapter, whether through a sale, recapitalization, or capital raise, we’re here to guide you.

What size companies do you typically represent?

Most of our clients have enterprise values between $25 million and $500 million. That said, it’s less about size and more about fit. Growth story, profitability, sector, and market dynamics all play a role.

What industries do you cover?

Our team has deep experience across software & tech-enabled services, healthcare, industrial, business services, consumer, financial services, energy, and real estate & construction. We know the buyers and investors who matter in each space and how to position your company to them.

Do I really need help selling my company?

Selling a business is one of the most complex transactions you’ll ever undertake. It requires positioning your company to maximize value, managing dozens of workstreams simultaneously, and negotiating with sophisticated buyers. We act as a trusted intermediary between you and potential acquirers, drawing on longstanding buyer relationships and experience to keep the process steady, productive and most of all, successful. Our involvement also frees you to focus on running your business while we protect your interests and drive the best possible outcome.

How do you determine my company's worth?

We start with a financial and operational review to understand your earnings power and growth story. Then we benchmark against industry multiples, comparable transactions, and buyer appetite. Ultimately, a company’s actual worth is determined by the market — what acquirers are willing to pay. Value isn’t fixed; it’s shaped by how well your story is told and how competitive the buyer process becomes. Our job is to frame your business in the strongest possible light so the market responds with premium offers.

Who will I work with at Kensington Park Capital?

Every engagement is led by a Managing Director (who has decades of relevant industry experience), supported by our full team of analysts, strategists, and communications experts. We stay hands-on from the first meeting through closing.

How long does the process take?

With financials in order and quick response time with our clients, our average time to close is 4-6 months start to finish. Plan for:
1) Readiness & clean-up (3–5 weeks): Quality of Earnings or audit work, contract tidy-up, data room build, tax/structure planning.
2) Go-to-market (6–10 weeks): outreach, first bids, management meetings, LOI.
3) LOI to close (30–60 days): confirmatory diligence, legal documents, financing, consents, regulatory steps.

What does “preparation” involve?

Preparation means getting your financials airtight, your growth story clear, and your data room fully organized. Buyers will test everything. The more prepared you are upfront, the smoother the process and the stronger the outcome.

What can I expect during due diligence?

Due diligence is the buyer’s deep dive into your company. They’ll test every assumption—financials, contracts, compliance, operations, customers, tax, even your leadership team. It’s rigorous and time-consuming, but preparation makes it manageable. We help you anticipate questions, organize your data room, and guide responses so diligence builds confidence rather than erodes value.

How do you find buyers?

The right buyers aren’t found by accident. We run a structured outreach process built on decades of relationships with strategic acquirers and private equity firms. We know who is active, what they’re looking for, and how they value opportunities. That insight allows us to target the right buyers quickly, create competition, and negotiate from a position of strength. Each potential buyer gets a tailored message that sparks interest without giving away leverage.

What’s the difference between a strategic buyer and private equity?

Strategic buyers are companies in your industry or adjacent markets looking to acquire for growth, capabilities, or customers. Private equity firms invest in businesses like yours to grow them further, often through roll-ups or expansion. Both can deliver great outcomes, depending on your goals. Our job is to line up potential buyers from both categories and create competition.

What does Kensington Park Capital do to protect confidentiality?

We know how sensitive a potential sale is for employees, customers, and competitors. Outreach is discreet, and all buyers must sign Non-Disclosure Agreements before receiving even preliminary information. Details are released in stages, only to vetted parties and only as appropriate, so you stay in control of what’s disclosed and when.

What role do I play once the process starts?

You stay focused on running the business. We manage the process, outreach, and negotiation. You’ll engage directly in key moments — management meetings, strategy calls, and final decision-making — but we shield you from the noise so you can keep performance strong.

How do you get paid?

We work on a success-based model. That means we only get paid when your transaction closes. (We are not paid UNLESS a transaction is completed.) This keeps us fully aligned with your outcome.

What makes Kensington Park Capital different?

Relationships first: We know the buyers and they know us. Senior-level execution: The experts you meet are the ones working on your deal. Proven process: 400+ successful transactions, each run with discipline and urgency. Entrepreneur-focused: We’ve been founders ourselves. We know what’s at stake.
